ARTICLE 2. PURPOSE
The purpose of the GTC is to define the rights and obligations of the Parties in connection with the Order by the Customer of Products sold by the Seller through the Site.
ARTICLE 3. SCOPE
The GTC apply exclusively to any Order of Products placed through the Site with the Seller by the Customer and delivered or supplied within the Territory. The GTC are drawn up in French; only the French version is binding.
Before placing the Order, the Customer has read and accepted the GTC, which are therefore fully enforceable against them.
The Seller reserves the right to modify the GTC at any time by publishing a new version on the Site. The version of the GTC applicable between the Parties for a given Order is the one in force on the date the Customer accepts it for that Order.
ARTICLE 4. TERRITORY
Orders may only be concluded between the Seller and a Customer residing in the Territory. They may only be delivered within the Territory. The GTC apply to any Order placed by the Customer for delivery or handover within the Territory.
ARTICLE 5. TERM
The GTC come into force between the Parties on the date the Customer validates the Order and apply for the time necessary to supply the Products ordered, until all warranties and obligations owed by the Seller have expired.
ARTICLE 6. CUSTOMER ACCOUNT
The Customer may create a Customer Account or log in if they already have one. Creating a Customer Account is not mandatory to place an Order on the Site.
To do so, the Customer must provide the following information: last name, first name, date of birth, email address and password. An email will be sent to confirm the creation of the Customer Account. The Customer Account will be created by clicking on the link in that email.
The Customer may modify their personal information at any time by logging into their Customer Account.
The email address and password linked to the Customer Account are strictly personal and confidential. Any Order placed through the Customer Account will be deemed to have been placed by the Customer concerned and will be binding on them towards the Seller. The Customer must immediately inform the Seller in writing of any unauthorized use of their email address and password of which they become aware.
The information provided by the Customer must be accurate, complete and up to date.
ARTICLE 7. ORDERING PROCESS ON THE SITE
The ordering process on the Site is as follows:
7.1. Access, information and selection of Products
The Customer must go to the Site and add one or more Products to their virtual cart, within a limit of ten Products of the same category per Customer, regardless of the number of Orders. If the Customer wishes to order more, they must contact the Seller by email.
Before placing the Order, the Customer can view the price and essential characteristics of the Product they wish to purchase.
7.2. Virtual cart
Once the Product(s) have been selected, the Customer must go to their virtual cart to check the content of their Order. They can add or remove Products at any time.
They must then click on "Order" to validate their virtual cart and move on to the next step. In the event of prolonged inactivity, the content of the virtual cart may no longer be guaranteed. In that case, the Customer will be asked to select the Product(s) they wish to order again.
7.3. Order summary
The Customer must either log into their Customer Account, create one in accordance with ARTICLE 6 of the GTC, or enter their email address.
If they do not have a Customer Account, the Customer must enter their date of birth.
The Customer must then provide the following delivery information: last name, first name, country of delivery, delivery address and mobile phone number. They may enter a valid promotional code if they have one. The Customer must then click on "Continue to shipping" to move on to the next step.
7.4. Delivery method
At this stage, the Customer can still change the contact email address and the delivery address. A single delivery method is offered to the Customer, "Standard" delivery, under the conditions of ARTICLE 13 of the GTC. The Customer must then click on "Continue to payment" to move on to the next step.
7.5. Choice of payment method and Order review
The Customer then chooses the payment method for their Order from those referred to in ARTICLE 9 of the GTC.
A summary of the Order and its total amount, including delivery costs, is displayed. The Customer may change their delivery and/or billing address. If they wish to change their cart, they must return to the previous step. In the event of any change, the Order summary will be updated.
The Customer may choose to save their payment details for future Orders. This service is provided by Shopify, whose terms of use and privacy policy apply exclusively to this service.
7.6. Order review
A summary of the Order and its total amount, including delivery costs, is displayed. The Customer may change their delivery and/or billing address and their payment method. In the event of any change, the Order summary will be updated.
7.7. Acceptance of the GTC
Before confirming their Order and paying for it, the Customer must read and accept the GTC.
7.8. Order validation and payment
The Customer must then validate their Order and pay for it using the selected payment method.
7.9. Order confirmation
The Seller receives the Order validated by the Customer and carries out the checks necessary to confirm it. In particular, it checks the availability of the Products in the Order and the validation of the payment.
The Customer will then receive an email confirming their Order and the acceptance of their payment. This email will summarize the content of the Order and contain these GTC.
7.10. Rejection of the Order
The Seller may reject all or part of the Customer's Order for a legitimate reason, in particular:
- an abnormal Order of Products, in particular an Order for a quantity greater than the maximum authorized,
- unavailability or out-of-stock Product,
- inappropriate behavior and/or bad faith of the Customer,
- total or partial non-payment of the Order by the Customer, or
- a pre-existing dispute with the Customer regarding payment for a previous Order.
In any event, if the Seller rejects the Customer's Order, it will inform the Customer of the reasons for the rejection.
ARTICLE 8. PRICE
The prices shown on the Site for each Product are expressed in euros (€), including French taxes. They do not include delivery costs, which will be added during the ordering process according to the rates shown on the Site.
The Seller may change the selling price of the Products at any time. If one or more taxes or contributions are created or modified, they will be passed on in the selling price of the Products.
The price applicable to the Customer and their Order is the one in force when they validate the Order.
ARTICLE 9. PAYMENT
Payment for the Order must be made in euros (€).
ARTICLE 10. PRODUCT AVAILABILITY
The Seller undertakes to fulfil the Order within the limits of available stock. If Products are unavailable, the Seller undertakes to inform the Customer of the foreseeable delivery times for these Products within a maximum of fourteen days from the Seller's acceptance of the Order. The Customer may then choose between a deferred shipment of the unavailable Product(s) or a refund.
ARTICLE 11. PROOF OF ORDER
The data recorded and stored on the Seller's computer system may be used as evidence of the content and validation of the Order by the Customer and of its confirmation by the Seller, of the information provided by the Customer and of their acceptance of these GTC.
For any Order over €120, the Seller keeps the above information for ten years from the delivery or handover of the Product. This information may be made available to the Customer at any time upon request sent to the Seller by post or email.
ARTICLE 12. OWNERSHIP
The Products in the Order remain the property of the Seller until their price has been paid in full by the Customer. The risks relating to the Products are transferred upon receipt of the Product(s) by the Customer.
ARTICLE 13. DELIVERY
13.1. Delivery methods
The Products in the Order may only be delivered by one of the delivery methods shown on the Site, and only within the Territory.
13.2. Delivery costs
Delivery costs depend on the total amount of the Order and the delivery method chosen by the Customer. They are those shown when the Customer places the Order.
13.3. Delivery time
Delivery times are those shown when the Order is placed. They are counted in business days (excluding Saturdays, Sundays and public holidays) and start from the Seller's confirmation of the Order and acceptance of payment. As an indication, Products are shipped within 7 to 10 business days.
13.4. Late delivery
In the event of late delivery, the Customer may either notify the Seller that they are suspending payment of all or part of the price until the Seller performs, under the conditions of articles 1219 and 1220 of the French Civil Code, or cancel their Order if, after giving the Seller formal notice to deliver within a reasonable additional period, the Seller has not done so within that period.
The Order will be considered cancelled upon receipt by the Seller of the letter or written notice of cancellation, unless the Seller has performed in the meantime.
The Seller undertakes to inform the Customer of any foreseeable delay.
The Customer may, however, cancel their Order immediately if the Seller refuses to deliver or if it is clear that it will not deliver, or if the Seller fails to deliver on the agreed date or within the agreed period and that date or period is an essential condition of the Order for the Customer. This essential condition results from the circumstances surrounding the conclusion of the Order or from an express request by the Customer before the Order is concluded.
If the Order is cancelled under the above conditions, the Seller will refund the sums paid by the Customer for that Order no later than fourteen days after receiving the letter or written notice of cancellation.
13.5. Receipt of the Order
Upon physical receipt of the Order, the Customer must check the condition of the parcel and the Products it contains. It is up to the Customer to notify the carrier of any reservations they consider necessary. They may also refuse the parcel if it is clearly damaged on receipt. If reservations are notified to the carrier, the Customer must send a copy of this notification to the Seller.
A written document is given to the Customer upon taking possession of the Order, informing them that they may express reservations, in particular in the event of a defect in the Product or failure to provide the instructions for use or installation.
The Seller cannot be held responsible for non-delivery or late delivery if the Customer does not have a letterbox, if the delivery address given when placing the Order does not exist, if the Customer did not give the correct delivery address, or in the event of travel restrictions imposed by the authorities.
ARTICLE 14. RIGHT OF WITHDRAWAL
In accordance with articles L. 221-18 et seq. of the French Consumer Code, the Customer has a right of withdrawal, which they may exercise within the period and under the conditions set out below.
14.1. Withdrawal period
The Customer has fourteen days from the day after receipt of the Product by the Customer or a third party designated by them, other than the carrier.
This period begins at the start of the first hour of the first day and ends at the end of the last hour of the last day. If it expires on a Saturday, Sunday or public holiday, it is extended until the next working day.
For an Order of several Products delivered separately, or of a Product made up of multiple lots or parts delivered in stages over a defined period, the period runs from the day after receipt of the last Product, lot or part.
For Orders providing for the regular delivery of Products over a defined period, the period runs from the day after receipt of the first Product.
14.2. How to exercise the right of withdrawal
The Customer exercises their right of withdrawal by informing the Seller of their decision before the end of the period set out in article 14.1, by sending the withdrawal form in ANNEX I or any other unambiguous statement of their wish to withdraw.
The Customer does not have to give reasons for their decision.
The Customer must then return the Products to the Seller no later than fourteen days after communicating their decision to withdraw, unless the Seller offers to collect the Products itself.
14.3. Direct return costs
The Customer will only bear the direct costs of returning the Products.
14.4. Effects of withdrawal
When the Customer exercises their right of withdrawal, the Seller refunds all sums paid no later than fourteen days from the date on which it is informed of the Customer's decision.
For sales of Products, unless it offers to collect the goods itself, the Seller may defer the refund until it has received the Products or until the Customer has provided proof of shipment, whichever is earlier.
The Seller makes the refund using the same means of payment as the Customer used for the initial transaction, unless the Customer expressly agrees to another means of payment and provided that the refund does not incur any costs for the Customer.
The Seller is not required to refund additional costs if the Customer has expressly chosen a more expensive delivery method than the standard delivery offered by the Seller.
The Customer does not have to bear any costs other than those provided for in this ARTICLE 14.
14.5. Condition of the returned Product
As the Product is worn on the face, it must be returned clean and cleaned in accordance with the instructions for use, complete (headset, straps, cable, accessories, instructions) and, where possible, in its original packaging.
In accordance with article L. 221-23 of the French Consumer Code, the Customer may be held liable for any diminished value of the Product resulting from handling other than what is necessary to establish its nature, characteristics and proper functioning. The Seller may then deduct an amount corresponding to this diminished value from the refund, in particular if the Product is returned dirty, incomplete or damaged.
14.6. Exclusions from the right of withdrawal
The right of withdrawal cannot be exercised for the supply of goods made to the Customer's specifications or clearly personalized.
ARTICLE 14 bis. "30-DAY SATISFACTION OR MONEY BACK" GUARANTEE
14 bis.1. Principle
In addition to the right of withdrawal provided for in ARTICLE 14, the Customer benefits from a commercial "satisfaction or money back" guarantee of 30 calendar days from receipt of the Product.
14 bis.2. How to use the guarantee
The Customer informs the Seller of their request by email to contact@bruxless.com before the end of the 30-day period, stating their order number. If the request is accepted, the Seller sends them the return address and instructions. Parcels returned without prior agreement cannot be processed.
14 bis.3. Conditions
The Product must be returned clean and cleaned in accordance with the instructions for use, complete (headset, straps, cable, accessories, instructions), in good condition and in its original packaging, together with proof of purchase. Return costs are borne by the Customer, except in the case of a defective Product or an error by the Seller.
14 bis.4. Refund
After receiving and checking the Product, the Seller refunds the purchase price of the Product, excluding initial delivery costs, to the original means of payment, within a maximum of 14 days. The refund may be reduced if the Product is returned dirty, incomplete, damaged or shows wear beyond normal trial use.
14 bis.5. Relationship with legal warranties
This commercial guarantee is in addition to, and does not replace, the right of withdrawal and the legal warranties provided for in ARTICLE 15.
ARTICLE 15. LEGAL WARRANTIES
15.1. Applicable warranties
The Customer benefits from the legal warranty of conformity provided for in articles L. 217-3 to L. 217-20 of the French Consumer Code and from the legal warranty against hidden defects provided for in articles 1641 to 1649 of the French Civil Code, for Products whose Order has been accepted by the Seller and which have been delivered to them.
15.2. Legal warranty of conformity
15.2.1. Content
15.2.1.1. Principle and periods
The Seller delivers a Product that conforms to the Order.
The Seller is liable for any lack of conformity existing when the Customer takes possession of the Products and which appears within two years of that date.
During the same period, the Seller is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation, where installation was its responsibility or carried out under its responsibility, or where incorrect installation by the Customer, as agreed between the Parties, is due to shortcomings or errors in the installation instructions provided by the Seller. This warranty period applies without prejudice to articles 2224 et seq. of the French Civil Code. The limitation period for the Customer's action starts on the day the Customer becomes aware of the lack of conformity.
15.2.1.2. Conformity of the Product with the Order
The Product conforms to the Order if, where applicable, it meets the following criteria in particular:
- it matches the description, type, quantity and quality, in particular as regards functionality, compatibility, interoperability or any other characteristics provided for in the Order,
- it is fit for any particular purpose sought by the Customer, made known to the Seller at the latest when the Order was concluded and accepted by the Seller,
- it is delivered with all the accessories and installation instructions to be provided in accordance with the Order,
- it is updated in accordance with the Seller's commitments.
In addition to the above criteria, the Product conforms if it meets the following criteria:
- it is fit for the purposes for which goods of the same type would normally be used, taking into account, where applicable, any provision of EU and national law and all technical standards or, in the absence of such standards, any codes of conduct applicable to the sector concerned,
- where applicable, it has the qualities that the Seller presented to the Customer as a sample or model before the Order was concluded,
- where applicable, the digital elements it contains are supplied in the most recent version available at the time of the Order, unless the parties agree otherwise,
- where applicable, it is delivered with all the accessories, including packaging, and installation instructions that the Customer may reasonably expect,
- where applicable, it is supplied with the updates that the consumer may reasonably expect, in accordance with article L. 217-19 of the French Consumer Code,
- it corresponds to the quantity, quality and other characteristics, including durability, functionality, compatibility and safety, that the Customer may reasonably expect for goods of the same type, having regard to the nature of the goods and to public statements made by the Seller, by any person upstream in the chain of transactions, or by a person acting on their behalf, including in advertising or on labelling.
However, the Seller is not bound by such public statements if it demonstrates:
- that it was not aware of them and could not reasonably have been aware of them,
- that, at the time the Order was concluded, the public statements had been corrected in a way comparable to the initial statements,
- or that the public statements could not have influenced the purchasing decision.
The Customer may not contest conformity by invoking a defect concerning one or more particular characteristics of the Product of which they were specifically informed that they deviated from the above conformity criteria, a deviation to which they expressly and separately consented when concluding the Order.
15.2.1.3. Conformity of the Product and GDPR
Where personal data is processed by the Seller in connection with the Order, any breach of its obligations under Regulation (EU) 2016/679 of April 27, 2016 and French Law No. 78-17 of January 6, 1978 on data processing, files and freedoms, where such breach results in non-compliance with one or more of the above conformity criteria, is treated as a lack of conformity, without prejudice to the other remedies provided for by those texts.
15.2.1.4. Presumption that a lack of conformity existed at delivery
Any lack of conformity that appears within twenty-four months of delivery of the Product, including a Product with digital elements, is presumed to have existed at the time of delivery unless proven otherwise, unless this presumption is incompatible with the nature of the Product or of the defect invoked.
15.2.2. Implementation
15.2.2.1. Principle
In the event of a lack of conformity, the Customer is entitled to have the Product brought into conformity by repair or replacement or, failing that, to a price reduction or to the termination of the Order, under the conditions set out below.
The Customer is also entitled to suspend payment of all or part of the price, or delivery of the benefit provided for in the Order, until the Seller has fulfilled its obligations under the legal warranty of conformity, under the conditions of articles 1219 and 1220 of the French Civil Code.
The legal warranty of conformity applies without prejudice to the award of damages.
15.2.2.2. Right to have the Product brought into conformity
The Customer is entitled to require the Product to be brought into conformity with the criteria set out in article 15.2.1.2 of the GTC.
The Customer asks the Seller to bring the Product into conformity, choosing between repair and replacement. To this end, the Customer makes the goods available to the Seller.
The Product is brought into conformity within a reasonable period, which may not exceed thirty days following the Customer's request, and without major inconvenience to them, taking into account the nature of the Product and the purpose sought by the Customer.
Repair or replacement of the non-conforming Product includes, where applicable, the removal and collection of the Product and the installation of the repaired or replacement Product by the Seller. If the Product cannot be removed and collected where it is located, the Seller will indicate the practical arrangements for returning it, without major inconvenience or disproportionate costs for the Customer having regard to its value. If the Seller requires the Customer to bear the shipping costs for bringing the Product into conformity, the Seller must reimburse them no later than fourteen days from the day the Customer is informed that the Product is covered by the legal warranty. Bringing the Product into conformity is free of charge for the Customer.
The Customer is not required to pay for normal use of the replaced Product before its replacement.
The Seller may decline the Customer's choice if the requested remedy is impossible or would entail disproportionate costs, having regard in particular to:
- the value the Product would have had without the lack of conformity;
- the significance of the lack of conformity; and
- whether the other remedy could be provided without major inconvenience for the consumer.
The Seller may refuse to bring the Product into conformity if this is impossible or would entail disproportionate costs, having regard in particular to the value the Product would have had without the lack of conformity and the significance of the lack of conformity. If these conditions are not met, the Customer may, after formal notice, seek specific performance of the remedy initially requested, in accordance with articles 1221 et seq. of the French Civil Code.
Any refusal by the Seller to follow the Customer's choice or to bring the goods into conformity must be justified in writing or on a durable medium.
15.2.2.3. Extension of the legal warranty after repair or replacement
Any Product repaired under the legal warranty of conformity benefits from a six-month extension of that warranty.
Where the Customer chooses repair but the Seller does not carry it out, bringing the Product into conformity by replacement starts a new legal warranty period of conformity for the replaced goods, for the Customer's benefit. This applies from the day the replacement goods are delivered to the Customer.
15.2.2.4. Price reduction or termination of the Order
The Customer is entitled to a price reduction or to the termination of the Order in the following cases:
- where the Seller refuses to bring the Product into conformity,
- where the Product is brought into conformity more than thirty days after the Customer's request or with major inconvenience to them,
- where the Customer ultimately bears the costs of collecting or removing the non-conforming Product, or of installing the repaired or replacement Product,
- where the lack of conformity persists despite the Seller's unsuccessful attempt to bring the Product into conformity.
The Customer is also entitled to a price reduction or to termination of the Order where the lack of conformity is so serious that it justifies an immediate price reduction or termination. In that case, the Customer is not required to request repair or replacement first.
The Customer is not entitled to terminate the sale if the lack of conformity is minor, which the Seller must prove.
The Customer must inform the Seller of their decision to obtain a price reduction. The reduction is proportionate to the difference between the value of the Product delivered and its value without the lack of conformity.
The Customer must also inform the Seller of their decision to terminate the Order. They return the Products to the Seller at the Seller's expense. The Seller refunds the price paid and returns any other benefit received under the Order.
If the lack of conformity concerns only some of the Products delivered under the Order, the Customer may terminate the Order for all the Products, even those not covered by the legal warranty of conformity, if they cannot reasonably be expected to keep only the conforming Products.
The sums due are refunded to the Customer upon receipt of the Product or proof of its return, and no later than fourteen days thereafter.
The Seller refunds these sums using the same means of payment as the Customer used for the Order, unless the Customer expressly agrees otherwise, and in any event at no additional cost.
15.3. Legal warranty against hidden defects
15.3.1. Scope
The legal warranty against hidden defects applies to any Product purchased, in accordance with articles 1641 to 1649 of the French Civil Code.
It applies if the following cumulative conditions are met:
- the defect is hidden, i.e. not apparent at the time of purchase,
- the defect makes the Product unusable or greatly reduces its use, and
- the defect existed at the time of purchase.
It does not apply to apparent defects.
15.3.2. Implementation
The Customer may invoke this warranty within a maximum of two years from discovery of the defect, and no later than five years after purchase of the Product.
It is up to the Customer to prove the existence of the defect.
The warranty must be invoked with the Seller by registered letter with acknowledgement of receipt.
If the defect is established, the Customer may choose:
- either to return the Product and obtain a refund of its price and of the costs incurred by the sale,
- or to keep the Product and obtain a partial refund of its price.
If it is shown that the Seller knew of the defect, it will also be liable for all damages to the Customer.
ARTICLE 16. INTELLECTUAL PROPERTY
The Seller declares that it holds the intellectual property rights to the Site and its content.
It owns the Site's domain name.
No right to any trademark, trade name or other distinctive sign, or any other intellectual property right belonging to the Seller, is granted to the Customer by the GTC.
Any total or partial reproduction, modification or use of the Site or its content for any reason whatsoever is strictly prohibited.
The Customer undertakes not to infringe, directly or indirectly, the Seller's rights.
ARTICLE 17. MISCELLANEOUS
17.1. Entire agreement
The GTC and the Order constitute the entire agreement between the Parties and supersede any prior agreement, written or oral, express or implied, between the Parties relating to the subject matter of the GTC.
17.2. Invalid clauses
If one or more clauses are declared invalid by a court decision or prove impossible to implement, the validity of the other provisions will not be affected and the Parties undertake to negotiate a replacement provision in good faith, unless the invalid clause(s) concern an essential term of the GTC.
17.3. Force majeure
If either Party is unable to perform its obligations under the GTC and the Order due to force majeure within the meaning of article 1218 of the French Civil Code, the performance of its obligations will be suspended for as long as the circumstances continue, provided that the affected Party notifies the other Party of the impediment and its causes within fourteen days. The Parties will take all appropriate measures to limit the effects of force majeure.
Once the cause of the suspension has ceased, the Parties will make every effort to resume normal performance of their contractual obligations as quickly as possible. To this end, the affected Party will notify the other of the resumption of its obligation by registered letter with acknowledgement of receipt or by any extrajudicial act.
If the force majeure continues for more than one month, the Order may be terminated at the request of either Party, without either Party being liable to the other.
Each Party bears all the costs incumbent on it resulting from the force majeure event.
17.4. Waiver
A Party's failure to enforce any provision of the GTC, or its temporary or permanent tolerance of non-performance, may in no way be interpreted as a waiver of its rights hereunder.
A Party's tolerance of non-performance or imperfect performance of the GTC, or more generally of any act, abstention or omission of the other Party not in accordance with the GTC, does not confer any right on the Party benefiting from such tolerance.
ARTICLE 18. COMPLAINTS – MEDIATION – DISPUTES
18.1. Governing law
The GTC are governed exclusively by French law. They are drawn up entirely in French, which is the only language binding between the Parties and in the event of a dispute.
18.2. Complaints
The Customer may send the Seller any complaint relating to the application of the GTC by email or post to the address given in ARTICLE 1 "Seller" of these GTC.
The Seller will respond within a maximum of thirty calendar days. Failing a response within this period, the complaint will be deemed rejected.
18.3. Mediation
In the event of a dispute, and before bringing any legal action, the Customer may refer the matter free of charge to the consumer mediator under the conditions set out in Title I of Book VI of the French Consumer Code.
After sending a written complaint to the Seller, and failing a satisfactory response within a reasonable period, the Customer may refer the matter to the following consumer mediator:
